These Terms and Conditions ("Terms") govern your use of soft4usolutions.com (the "Website") and the services offered by Soft4u Solutions Private Limited. By using the Website or engaging our services, you agree to these Terms. This document is an electronic record under the Information Technology Act, 2000 and the rules made under it, and does not require physical or digital signatures.

2. Use of the website

You must be at least 18 years old, or use the Website under the supervision of a parent or guardian.
You agree not to host, display, upload, modify, publish, transmit or share any information that is unlawful, defamatory, obscene, infringing, harmful to minors, misleading, impersonating another person, threatening the unity, integrity, defence, security or sovereignty of India, containing malware, or otherwise prohibited under Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
You agree not to attempt unauthorised access to our systems, scrape the Website in bulk, or interfere with its operation. Such acts may be offences under Sections 43 and 66 of the IT Act.

3. Information on the website

We try to keep information accurate and current, but prices, features and timelines shown on the Website are indicative. A service is confirmed only by a written proposal, quotation or agreement accepted by both parties. See our Disclaimer.

4. Engaging our services

Proposals: each project is defined by a written proposal or quotation describing scope, deliverables, timeline and fees. Work outside the agreed scope is charged separately after your approval.
Payments: unless agreed otherwise, projects require an advance payment before work starts, with the balance due at milestones or before launch. Invoices are payable within 7 days. Prices are exclusive of GST, which is charged as applicable.
Client responsibilities: you will provide content, approvals and access on time. Delays in providing these extend the timeline.
Third-party costs: domain, hosting, paid plugins, advertising spend, WhatsApp messaging fees and app-store fees are payable by you, directly or through us, as stated in the proposal.
Advertising spend: ad budgets paid to Google, Meta or other platforms are governed by their terms and are non-refundable once spent.

5. Intellectual property

The Website's design, text, graphics, logos and code are owned by Soft4u Solutions Private Limited or its licensors and protected under the Copyright Act, 1957 and the Trade Marks Act, 1999. You may not copy or reuse them without written permission.

For client projects, ownership of final deliverables (designs, source code, content created for you) transfers to you after full payment, except for our pre-existing tools, frameworks, libraries and third-party components, which are licensed to you for use in the project. Our software products (such as Vidyarise) are licensed on a subscription basis and remain our property.

Client logos and names displayed on this Website belong to their respective owners and are shown to indicate a business relationship. If you are a client and want your logo removed, email info@soft4u.in.

6. Confidentiality

Both parties will keep confidential any non-public business information received from the other, and use it only for the project. This obligation survives the end of the engagement.

7. Warranties and limitation of liability

We perform services with reasonable skill and care. We do not guarantee specific search-engine rankings, traffic, leads or revenue, as these depend on factors outside our control such as search-engine algorithms and market competition. To the maximum extent permitted by law, our total liability for any claim relating to a project is limited to the fees paid by you for that project in the three months before the claim. We are not liable for indirect, incidental or consequential losses, including loss of profit or data, except where caused by our gross negligence or wilful misconduct.

8. Indemnity

You agree to indemnify SSPL against claims arising from content, materials or instructions you provide (for example, images you do not have rights to), or from your breach of these Terms or applicable law.

9. Termination

Either party may terminate a project by written notice if the other materially breaches these Terms or the proposal and fails to cure it within 15 days. On termination, you pay for work done up to the termination date and we hand over completed deliverables.

10. Force majeure

Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, epidemics, government action, internet or power outages, or failures of third-party platforms.

11. Governing law and disputes

These Terms are governed by the laws of India. Parties will first try to resolve disputes through good-faith discussion within 30 days. Failing that, disputes shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in New Delhi, in English. Subject to this, courts at New Delhi shall have exclusive jurisdiction. Nothing in this clause limits your rights as a consumer under the Consumer Protection Act, 2019, where applicable.

13. Changes

We may update these Terms from time to time. The version on this page applies from the "last updated" date shown below.
