Soft4u Solutions Private Limited (SSPL)
The client's approval for work to commence shall be deemed a contractual agreement between the Client and Soft4u Solutions Private Limited ("SSPL"). Approval can be given by email confirming the quote (with the quote document attached), by a signed quote document, or by the first advance payment made to SSPL's current account. SSPL is in the business of providing consultancy and allied services on computer-based information technology to its clientele, including any affiliates, subsidiaries or divisions of SSPL's clients and customers ("Customers"), and produces websites, designs, business planning documents/diagrams and creative works for its Customers — whether copyrightable or patentable or not ("Product" or "Products"). In consideration of the mutual promises, covenants and conditions set out herein, the parties agree to the terms in this agreement/proposal.
Important: payment of the advance fee indicates that the client accepts these terms and conditions and approves commencement of work.
Usage of SSPL services, products and solutions
The client agrees not to use SSPL's services, products or solutions delivered for any business that is harmful to society or to children, or that is illegal. The client is fully responsible for all content published or distributed (or allowed to be published or distributed) through the client's website, whether hosted on servers owned/maintained by SSPL or by the client. The client shall implement the best possible precautionary and security measures to restrict any illegitimate use of the services/solutions procured from SSPL.
One month of free technical support
SSPL provides one month of free technical support for: (a) server-side scripting/programming errors or bugs; (b) logical bugs or calculation-related errors/bugs; (c) connection errors or API integration errors. This support does not cover issues caused by an external entity — for example, server, software, application or extension upgrades/downgrades; edits made by any external person/professional; operating system or browser version changes; or any other factor not directly related to a deficiency on SSPL's end. It also does not cover, unless specifically included in the project scope: training on using the delivered software/solution; general questions about particular features; cosmetic or UI/UX updates; or enhancements/modifications to default features or functional logic.
Graphics and stock imagery
Unless otherwise agreed, stock images used for banners, promotional graphics or animation are not part of the project deliverables — the client should purchase the licence to use stock images from the relevant third party at their own cost. SSPL may use stock photographs while creating a website; such images are not generally included in the quote and will be invoiced separately. At the client's request, SSPL will share which stock images are being used and the cost involved before raising the invoice. Images used by SSPL for product demos may not be used by the client unless the client has purchased usage rights; the client is fully responsible for any violation of third-party copyright. Images delivered with a bundled software/solution/script are for demonstration purposes only and must not be used commercially without contacting SSPL, or should be replaced with images the client owns.
Browser compatibility
SSPL makes every effort to design pages that work on the most popular current browsers (the latest versions of Chrome, Firefox and other major browsers as of the date of project agreement). SSPL cannot be held responsible for pages that do not display acceptably in newer browser versions released after the pages were designed. Older Internet Explorer versions are considered outdated and are not designed for by default; SSPL can work on improving compatibility with older browsers for an additional charge.
Search engine submission
Unless agreed otherwise in writing, the following are not part of a website project: submission of the website to search engines; securing a specific ranking on search engines; and on-page/off-page search engine optimisation.
Site maintenance
Unless otherwise agreed in writing, the following will be billed separately after the website is live: content updates; refinements or logical tweaks not planned/approved by the client earlier; and content or design updates not planned/approved earlier.
Content
Once SSPL has delivered the website, the client is solely responsible for the content, information and images posted on it. If there is an error or omission by the SSPL team while uploading or posting content on the client's website, SSPL will correct it once reported.
Client-supplied material
All material supplied by the client remains the client's property. SSPL relies on the client's assurance that such material does not breach any copyright laws, and shall not be held responsible for any claims, damages or loss of profit or reputation caused by the use of material provided by the client.
Domain names booked by SSPL
SSPL provides domain name consultancy on request. Domains registered by SSPL on the client's behalf remain SSPL's property until the client has paid for the domain and any associated fees. SSPL will transfer such domains to the client (or their agent) once all accounts are settled. This term does not apply to domains booked and owned directly by the client.
Travel time and expenses
Travel time to and from client premises is not generally included in our estimates. Where a visit is required, the client bears the associated expenses, or as otherwise agreed between both parties.
Third-party add-ons, services and applications
All third-party costs arising from domain registration or purchase of third-party utilities/services are met by the client and are payable to SSPL before a formal registration application is made. Examples include domain names, server/hosting fees, SSL certificates, backup services, third-party APIs required by the client, third-party plugins/scripts/applications/widgets required by the client, and payment gateway sign-up and recurring fees.
Examples of work
Unless negotiated otherwise in writing, SSPL retains the right to list and display the client's name, URL(s) and logo — with or without describing the design, development or online promotion work performed — in its portfolio and promotional materials. This overrides any previous agreements or NDAs signed.
Quotations
The price quoted covers only the work agreed in the proposal document. If the client requires changes after work has begun, SSPL will provide a separate quote for the additional work and may need to revise the project timeline. Cost estimates and quoted prices are valid for a maximum of one month unless otherwise agreed.
Mode of payment
Clients based outside India: international wire transfer, or credit card/PayPal. Clients based in India: online transfer, NEFT, RTGS, or a physical cheque mailed to our office address.
Payment terms
- The payment plan is agreed between the client and SSPL based on project milestones.
- Payment is due within 7 days of the invoice date unless otherwise specified on the invoice.
- Full publication of the website or technical work takes place only after full payment is received, unless agreed otherwise in writing.
- Previously published material may be removed if payment is not received; restoring it after that will incur a minimum charge of INR 5,000.
- Accounts not settled within 7 days of the invoice date incur a late payment charge of INR 1,000 or 5% of the invoiced amount (whichever is higher) for each week of delay.
- In case of delayed payment beyond the due date, SSPL reserves the right to pause work, and the client agrees to release SSPL from the agreed timelines.
Cancellation
Either party may cancel the project at any stage.
- If cancelled by the client, payments made are refunded after deducting the upfront payment for project initiation and any payments already tied to completed milestones.
- If cancelled by SSPL, payments made are refunded after deducting INR 1,000 per hour for time spent on the work, including discussion, requirements gathering, planning, documentation, initiation and execution. Once settled, SSPL transfers all documents, designs and scripts produced to the client.
- After a cancellation/refund, SSPL reserves the right to take the published website down. The client is responsible for keeping their own backup; SSPL is not responsible for data or files lost as a result.
Penalty clause
SSPL agrees to finish the project within the agreed timeline, per the detailed scope. If SSPL delays, a penalty of an agreed percentage of the original project price applies per week of delay, as set out in the project contract. Any penalty or refund due is adjusted against the pending amount owed by the client, with any remainder refunded via the agreed payment method. Once a full refund is issued, the project is marked cancelled and SSPL is released from further liability toward the client, and the client agrees not to reuse any work, scripts, designs or documents already delivered without paying the full project price.
The client is responsible for providing feedback and scope input during the detailed project scope phase; later changes may be additionally chargeable and can extend the timeline. Delays in client payment or in client feedback (beyond one week) release SSPL from the agreed delivery timeline and any associated penalty.
Delayed response from the client
Unreasonable delays from the client in providing feedback, information or data needed to finish the project release SSPL from the timelines in the quote. If the client does not provide required details for more than 15 working days, SSPL may forfeit payments made toward the project. If the client does not maintain communication for more than 30 calendar days, the project/services are deemed received and accepted, and SSPL may mark the project complete and invoice the remaining balance. A client may instead request the project be put on hold, subject to: a resumption fee of INR 10,000 or 25% of the total project price (whichever is higher); a hold period not exceeding two calendar months; acceptance that the originally assigned project team may change; and payment of the resumption fee each time the project is put on hold.
Escalation
SSPL aims to resolve issues in a timely manner. If your concerns aren't addressed to your satisfaction, you may escalate to a higher level of management via our contact page, and can expect a response within 2 working days for a first-level escalation, or within 5 business days for a final escalation.
Time estimates
Stipulated timelines cannot be met if the project scope changes after the scope document is finalised. The client agrees not to change requirements without extending the agreed timeline by a minimum of one week per change request.
Copyright and ownership rights
SSPL retains copyright over material it creates for the client — including design, artwork and source code — unless otherwise agreed in writing. As per agreed terms, the client owns: (a) logos, graphics, pictures and images they supplied; (b) website interface/PSD/creative designs, if the client ordered a custom design with exclusive rights; (c) programming files/source code, if the client ordered the project with exclusive rights in writing. Projects delivered on a Single Domain Licence basis grant the client the right to use the system only on designated domains, and the client should take reasonable care to restrict unauthorised access to the delivered source code.
General
In no event shall SSPL be liable to the client or any third party for damages, including lost profits or savings or other incidental, consequential or special damages, arising from the operation of or inability to operate a delivered website, even if advised of the possibility of such damages. Despite best efforts, errors in web page information may occur; SSPL's responsibility is limited to correcting such errors. Should SSPL waive any of these terms on an individual basis, this does not affect the validity of the remaining terms, nor commit SSPL to waive the same term on any other occasion. Agreeing to these terms does not affect your statutory rights. SSPL may change or modify these terms at any time; agreements signed prior to an update remain unaffected by it.
